African Gold Group, Inc. (TSX-V: AGG) ("AGG" or the "Company")is pleased to announce the appointment of Mr. Georges Cohen to its Board of Directors, effective June 22, 2015.

Mr. Cohen is past President and CEO of the most important subsidiary of Europe's largest multinational IT services company, Cap Gemini, headquartered in Paris France. Mr. Cohen was the founder of Paris based, Transiciel, a multinational IT services company employing over 10,000 engineers that merged with Cap Gemini subsidiary, Sogeti, in 2003. Mr. Cohen became CEO of the merged Sogeti-Transiciel (22,000 employees) and became one of four members of the Executive Committee of Cap Gemini (110,000 employees).

Following the successful integration of Sogeti-Transiciel, Mr. Cohen departed the company to engage in private equity investing, on behalf of his family office, in the highly diversified fields of science engineering and related services, real estate, aerospace, communication, real-time media and finance, including co-founding Altergaz, the second largest gas distribution company in France, that was ultimately sold to Eni S.p.A., an Italian multinational integrated energy company. The Cohen family has also invested in Panhard, a leading European light armored vehicle manufacturer that was sold to Volvo Group, AB. Panhard's military equipment is being used in numerous peacekeeping missions, including its current deployment in Mali, West Africa.

  • The appointment of Declan Franzmann as Director, President and Chief Executive Officer (“CEO”), reporting to AGG’s Board of Directors. Mr. Franzmann’s immediate focus is to accelerate the completion of the Feasibility Study and oversee and expedite the initiation of production at AGG’s Kobada Gold Project, located in south-west Mali; and
  • The appointment of Michael Nikiforuk, past President, Founder and Director of AGG, to Executive Director, Corporate Development. In his new role, Mr. Nikiforuk will focus on the  Company’s corporate social responsibility programs, community stakeholder and government relations initiatives.

Appointments Intended To Fast-Track The Kobada Gold Project Into Production

Mr. Declan Franzmann, a professional mining engineer, has more than 22 years experience in corporate, operational and senior engineering roles. Declan has accumulated significant experience working on gold projects within Australia and internationally. Most recently, Declan was Founding Director of Crosscut Consulting, a resource engineering business providing mine planning and management services since 2005. Mr. Franzmann has held senior management roles at the Tritton, CSA, Gympie, and Chariot Mines. He has extensive experience in both underground and open-pit mining as a professional engineer. Declan has held executive and non-executive director positions for several ASX and TSX listed companies, most recently for Lachlan Star Limited (TSX: LSA). Mr. Franzmann completed a Bachelor of Engineering (Mining) at the University of Ballarat, Victoria, Australia and holds First Class Mine Manager's Certificates in Western Australia, Queensland and NSW. Declan is a Fellow of the Australasian Institute of Mining and Metallurgy (“FAusIMM”).

Declan Franzmann - President & CEO

Mr. Declan Franzmann, B. Eng. (Mining), FAusIMM(CP), a professional mining engineer, has more than 22 years experience in corporate, operational and senior engineering roles. Declan has accumulated significant experience working on gold projects within Australia and internationally. Most recently, Declan was Founding Director of Crosscut Consulting, a resource engineering business providing mine planning and management services since 2005.  He has been a director of a number of public and private companies and he has had detailed involvement in all aspects of the mining business, including exploration, permitting, mine development, financing, operations, product sales, and asset acquisition and divestments, as well as the debt and equity markets.

Michael A.J. Nikiforuk - Executive Director, Founder & Past President

Mr. Nikiforuk (B.A. Econ.) is the former President, Founder and Director of AGG and a former Director of Banro Resource Corporation. Mr. Nikiforuk represented Banro in three rounds of equity financing totaling approximately $30,000,000.

Marco J. Durante - Vice-President, Founder & Director

Mr. Durante (B.A. Econ.) focuses on providing venture capital and Investor Relations strategies and financing initiatives on an ongoing basis to growth oriented companies. Mr. Durante has substantial past experience with ming companies, including Banro Resource Corporation and Lyndex Explorations.

David S. Brown, LL.B. - Director

A partner in the Corporate Department of Toronto based Weir Foulds LLP, Mr. Brown is a founder and past Chairman and presently serves as a Director of the Toronto Venture Group, President of the Limited Market Dealers Association of Canada and a member of the Executive Committee of the Toronto Angel Group


Dr. Antony Harwood - Director

Dr. Tony Harwood is an economic geologist with 30 years of international exploration and mining experience and graduated from University of Wales, College Cardiff, with a B.Sc. (Honours) degree and Ph.D in Economic Geology.  Dr. Harwood was appointed President and Chief Executive Officer of Montero Mining & Exploration in June, 2009.  Between 2006 and 2009, Dr. Harwood held the position of President and Chief Executive Officer of Africo Resources Ltd., a Canadian company engaged in exploring, acquiring and developing base metal and gold assets in Africa.  Between 1998 and 2006, Dr. Harwood served as a Vice President of Placer Dome Inc., a major Canadian gold mining company. Other professional credits include positions as a Non-Executive Director of Endeavour Mining and former founder and MD of Harwood International Ltd., a geological consulting company. Dr. Harwood additionally held a position as a lecturer - University of Wales, Cardiff (UK), University of Natal and University of Durban (South Africa).

Pierre Lalande

Pierre Lalande - Director

Mr. Lalande is a career geologist with approximately 40 years of field experience of which the vast extent of this experience has been spent and is currently being spent in West Africa. From 1970 - 1994 Pierre was a Senior Geologist with Watts, Griffis and McOuat Ltd. From 1994 - 2001 Pierre served as Chief Geologist for IAMGOLD Corp., and from 2001 - 2005 as Technical Advisor to Orezone Resources Inc. The West African projects that Pierre contributed in adding value to include: Sadiola (Mali), Yatela (Mali), Siguri (Guinea), Kiniero (Guinea) and Samira-Libiri (Niger), Essakane and Inata (Burkina Faso).


Georges Cohen Director

Mr. Cohen began his career in the Cap Gemini Group where he held several positions including Commercial Engineer, Sales Director, Managing Director and President and Chief Executive Officer of a major subsidiary of the Cap Gemini Group. In 1990, Mr. Cohen left Cap Gemini and founded Transiciel (SSII) where he became the President and Chief Executive Officer. In 2000, Transiciel became public and, in 2001, Transiciel was granted the “Trophée de la décennie de la meilleure entreprise” by the firm Bain.  The selection was made over a total of 278,916 companies based on growth, profitability and sales revenue criteria. In 2003, Transiciel merged with Sogeti in Cap Gemini. Member of the executive committee of the Cap Gemini Group and President and Chief Executive Officer of the new Sogeti-Transiciel set (more than 20,000 employees), Mr. Cohen supervised this merger during 2 years and a half and eventually left the group to engage in personal activities of private equity.  Mr. Cohen currently serves as Chairman & CEO of Robex Resources which controls the Nampala Mine in Mali, West Africa.

W. Durand (Randy) Eppler, M. Sc - Member of the Advisory Board

Former Vice President of Corporate Planning for Newmont Mining Corporation, Vice President of Newmont Capital Corporation and former President of Newmont Indonesia. Prior to joining Newmont, Mr. Eppler was Managing Director of Chemical Securities Inc., an affiliate of Chemical Bank. Mr Eppler holds a Master's Degree in Mineral Economics from the Colorado School of Mines.
